Quorum Requirement Waiver Proposal

NOTICE of PETITION to WAIVE MINIMUM QUORUM REQUIREMENT and REQUEST for COMMENTS

The Parents + Teachers Association of Bridges | MS 915 is a NY not-for-profit corporation officially known as “Friends of Middle School 915, Inc.” We would like to clarify the number of people (quorum) required to take official actions at our meetings such as voting on our budget, electing officers, approving minutes, etc. We are asking the Kings County Supreme Court to confirm that we can comply with New York City’s requirements for PTAs rather than New York State’s requirements for not-for-profits. If they approve, the quorum requirements will apply to all of our future PTA general membership meetings.

While the PTA strongly encourages all members of the Bridges | MS 915 community to participate in activities and attend monthly PTA meetings, we are rarely able to meet the minimum quorum requirements for New York State not-for-profits. Adhering instead to the New York City Chancellor’s quorum requirements would be allow us to act on issues in a more efficient and compliant manner.

RELEVANT INFORMATION

  • NYS Not-for-Profits Minimum Quorum: 100 members or 10% of members (60+ Bridges | MS 915 PTA members)
  • PTAs as per NYC Chancellor’s Regs: 8 members, including 2 executive board members
  • Average attendance at PTA of Bridges|MS 915 meetings: between 20 and 40 members
  • All are open to the public; view meeting times and dates

OBJECTIONS/COMMENTS

If you object to the PTA’s application to the court regarding quorum, or otherwise have concerns, you can contact the PTA at communications@ms915brooklyn.org and/or participate in the proceeding by submitting comments via the Quorum Waiver Petition Comments/Objection form.
